1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sovereign AI Inc. ("Company," "we," "us," or "our") concerning your access to and use of SupportForge and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

SupportForge is an AI-powered helpdesk platform designed for Managed Service Providers (MSPs) and IT teams. The Service includes features such as:

• AI-powered ticket analysis and triage
• Persona Lens user profiling
• Multi-organization management
• Integration with third-party ticketing systems
• Desktop agent applications
• Reporting and analytics

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Subscription and Payment

Free Trial

We may offer a free trial period. At the end of the trial, your account will require a paid subscription to continue using the Service.

Billing

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms or required by law.

Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code or interfere with the Service
• Attempt to gain unauthorized access to any systems
• Collect user information without consent
• Use the Service for any illegal or unauthorized purpose
• Resell or redistribute the Service without authorization

6. Your Data

Ownership

You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely to provide the Service.

Data Processing

Certain data processing occurs on-premise within your infrastructure. You are responsible for maintaining appropriate security measures for your environment.

Backup

While we implement reasonable data protection measures, you are responsible for maintaining backups of your data.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Sovereign AI Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks may not be used in connection with any product or service without our prior written consent.

8. Third-Party Integrations

The Service may integrate with third-party services (e.g., Zendesk). Your use of such integrations is subject to the third party's terms and policies. We are not responsible for the content, privacy practices, or actions of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVEREIGN AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission
• Any bugs, viruses, or similar issues transmitted through the Service
• Any errors or omissions in any content

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Sovereign AI Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Wake County, North Carolina.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
